Interlaw's strategic partner firm in Hungary, Lakatos, Köves and Partners, has advised Indotek Group on its acquisition of the remaining stake in Auchan Hungary from Auchan Retail International, completing Indotek's transition to sole ownership of one of Hungary's leading retail businesses. 

The transaction marks the culmination of a long-term strategic partnership between the two companies and represents a significant milestone in Hungary's retail sector. Lakatos, Köves and Partners provided comprehensive legal advice throughout the transaction, supporting Indotek on the structuring of the acquisition, renegotiation of the share purchase agreement, preparation and negotiation of the joint venture arrangements, brand licensing and procurement agreements, competition and foreign direct investment approvals, and financing aspects of the deal. 

The firm's involvement reflects its strength in managing sophisticated, multi-disciplinary transactions involving both domestic and international stakeholders. The transaction was led by partner Iván Sólyom, supported by Gergely Kántor, Soma Schóber, and Péter Pazonyi, working closely with colleagues across the firm's corporate, finance, competition, and intellectual property practices. 

The acquisition follows Indotek's initial purchase of a 47% stake in Auchan Hungary in 2023 and eighteen months of operational responsibility for the business. Auchan Hungary will continue to operate under the Auchan brand through long-term commercial agreements while benefiting from Indotek's full ownership and ongoing investment in the business.
