Interlaw's Oman and Singapore Firms Collaborate on Fund Investment Project

Trowers & Hamlins and CNPLaw, Interlaw’s partner firms in Oman and Singapore respectively, have collaborated on an investment project extending credit to Metro Telworks Private Limited.
Based in Singapore, Metro Telworks is a global provider of telecommunications infrastructure and network services. The secured credit facility was structured through the issuance of unlisted debentures.
As part of the project, Trowers & Hamlins acted as the international transaction counsel while CNPLaw provided Singapore legal advice to VentureSoul Partners Limited in relation to the cross-border financing arrangement, which will support Metro Telworks’ international expansion strategy across Asia, including in the key markets of India and Singapore. The project also represents a milestone transaction for VentureSoul Partners’ inaugural debt fund.
The Trowers & Hamlins team was led by the firm’s Head of India Desk Debopam Dutta and supported by senior associate Phoebe Lim and associate Jian-Jie Phang. The team at CNPLaw included partner Bill Jamieson and associate Daniel Ng.
Founded in 2004, Metro Telworks operates in over 19 countries across Asia, Africa, the Middle East, and Latin America. Its client base includes major industry players such as Nokia, Ericsson, and MTN. The company specialises in network rollouts, optimisation, and performance management services.
The new funding is expected to enhance Metro Telworks’ operational capacity and accelerate its growth trajectory, particularly as it advances its 5G capabilities and expands into North American and European markets.
Based in India, VentureSoul Partners is a SEBI-registered AIF Category II structured credit fund for new economy companies with a target corpus of up to approximately US$35 million, plus an additional US$35 million greenshoe. VentureSoul Partners provides growth capital to new age companies, with additional support for transactions like shareholder exits, ESOP buybacks, and M&A financing.
