Interlaw's partner firm in Austria, Binder Grösswang, has advised BEXity, a market leader for cross-border transport and logistics services in the Austrian market and its holding company, Mutares SE & Co. KGaA on the sale of its Czech subsidiary European Contract Logistics (EC Logistics) in a management buy-out to the CEO of EC Logistics Roman Goerojo.

Mutares is a listed industrial holding company which focuses on the acquisition of corporate spin-offs with potential for operational improvement, value increase and sustainable long-term growth.

Mutares acquired EC Logistics, a global provider of international road, air and sea freight services founded in Prague in 1991, as part of the acquisition of the BEXity Group in November 2019. In 2019, EC Logistics generated revenues amounting to EUR 10 million with 51 employees. The parties have agreed to keep the purchase price confidential.

The Binder Grösswang team was led by partner Thomas Schirmer and senior associate Wolfgang Guggenberger (both corporate/M&A) and included also Clemens Willvonseder (senior associate) and Alexandra Hochegger (associate, both Tax) and Maximilian Höltl (senior associate) and Patrick Mayrhuber (associate, both Banking & Finance). The Mutares team was led by general counsel Jan Thöle and Denis Ahluwalia (head of tax).
